These Terms and Conditions (“Terms”) govern access to and use of the Treema Ai software platform and services (“Service”) provided by Treema Tech Ltd, a company incorporated in the Dubai International Financial Centre (“Treema Ai”, “we”, “us”, or “our”).

By accessing or using the Service, you (“Customer”, “you”) agree to be bound by these Terms.

1. DEFINITIONS

• “Account” means a registered account enabling access to the Service.

• “Authorized Users” means individuals authorized by Customer to use the Service.

• “Customer Data” means all data, content, messages, files, prompts, or information submitted to the Service by or on behalf of Customer.

• “AI Features” means artificial intelligence, automated agents, workflows, machine-learning systems, and large language model functionality.

• “Subscription” means a paid or trial access plan.

2. ACCEPTANCE OF TERMS

By using the Service, clicking “Accept”, or creating an Account, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the Service.

3. ELIGIBILITY & AUTHORITY

You represent that:

• You are at least 18 years old;

• You have authority to bind the entity you represent;

• Your use complies with all applicable laws and regulations.

4. THE SERVICE

Treema Ai provides a cloud-based SaaS platform offering AI-powered agents, automation workflows, integrations, analytics, and communication tools, including hospitality and enterprise use cases.

We may update, modify, or enhance the Service from time to time without materially reducing its overall functionality.

5. SUBSCRIPTIONS & FEES

5.1 Subscription Term
Access is provided on a subscription basis as defined in your order form, invoice, or pricing page.

5.2 Fees & Payments
All fees are exclusive of taxes unless stated otherwise. Failure to pay may result in suspension or termination of access.

5.3 No Refunds
Except where required by applicable law, all fees are non-refundable.

6. CUSTOMER RESPONSIBILITIES

You are responsible for:

• All activity under your Account;

• Maintaining the confidentiality of credentials;

• Ensuring Customer Data is lawful, accurate, and appropriate;

• Compliance with all applicable laws and third-party obligations.

7. ACCEPTABLE USE

You shall not:

• Use the Service for unlawful, harmful, or deceptive purposes;

• Reverse engineer or attempt to extract source code or models;

• Interfere with system integrity, performance, or security;

• Use the Service to develop competing products.

8. ARTIFICIAL INTELLIGENCE, AGENTS & LLMs

8.1 AI-Driven Functionality

The Service includes AI-powered agents and large language models that generate responses, recommendations, summaries, automations, and actions based on Customer inputs and configurations.

8.2 No Professional Advice

AI outputs are provided “as is” for informational or operational purposes only and do not constitute legal, financial, medical, or professional advice. Customer must independently validate all outputs.

8.3 No LLM Training on Customer Data

Unless expressly agreed in writing:

• Treema Ai does not use Customer Data to train, retrain, or fine-tune its proprietary foundational models;

• Customer Data is processed only for service delivery, inference, automation execution, and system operation;

• Treema Ai bears no responsibility or liability for model training practices of third-party AI providers.

8.4 Third-Party AI Providers

AI Features may rely on third-party models or APIs. Treema Ai does not control and is not responsible for third-party model behavior, updates, or training methodologies.

8.5 No Guarantee of Accuracy

AI systems are probabilistic. Outputs may be incorrect, incomplete, biased, or inappropriate. You assume all risk associated with reliance on AI-generated outputs.

8.6 Customer Responsibility

You are solely responsible for:

• Prompts, instructions, and inputs;

• Reviewing AI outputs before use;

• Any decisions, actions, or automated workflows triggered by AI Features.

9. CLOUD INFRASTRUCTURE & HOSTING

9.1 Infrastructure Providers

Treema Ai uses Google Cloud Platform (GCP) and Amazon Web Services (AWS) for cloud compute, hosting, storage, networking, and AI infrastructure.

9.2 No Control Over Cloud Providers

Treema Ai does not control and shall not be liable for:

• Outages, downtime, or service disruptions caused by cloud providers;

• Changes to infrastructure services, regions, or availability;

• Security incidents attributable to underlying cloud infrastructure beyond Treema Ai’s reasonable control.

9.3 Data Processing

Customer Data may be processed, stored, and transmitted using GCP and AWS infrastructure in accordance with industry-standard security practices and Treema Ai’s Privacy Policy.

10. DATA PROTECTION & PRIVACY

Customer Data is handled in accordance with the Treema Ai Privacy Policy, which forms an integral part of these Terms.

11. INTELLECTUAL PROPERTY

All intellectual property rights in the Service, software, models, agents, workflows, and documentation belong exclusively to Treema Ai or its licensors. No rights are granted except as expressly stated.

12. CONFIDENTIALITY

Each party agrees to protect the other’s Confidential Information using reasonable care and not disclose it except as permitted under these Terms or required by law.

13. WARRANTIES & DISCLAIMERS

The Service is provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by law, Treema Ai disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by DIFC law:

• Treema Ai shall not be liable for indirect, incidental, consequential, or special damages;

• Treema Ai shall not be liable for AI-generated outputs, automated actions, or reliance on such outputs;

• Total aggregate liability shall not exceed the fees paid by Customer in the twelve (12) months preceding the claim.

15. INDEMNIFICATION

Customer agrees to indemnify and hold harmless Treema Ai from claims arising from:

• Customer Data;

• Unauthorized use of the Service;

• Violation of these Terms or applicable law.

16. TERM & TERMINATION

These Terms remain effective while the Subscription is active. Either party may terminate for material breach with written notice. Upon termination, access to the Service will cease.

17. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC). Any dispute shall be subject to the exclusive jurisdiction of the DIFC Courts.

18. GENERAL PROVISIONS

• Entire Agreement: These Terms constitute the entire agreement.

• Amendments: We may update these Terms from time to time.

• Severability: Invalid provisions shall not affect remaining terms.

• Assignment: Customer may not assign without consent.
